Terms of Service for DEXCORE Technologies Inc.

These Terms govern access to and use of DEXCORE Technologies Inc. services, including AI receptionist systems, appointment scheduling, lead capture, call handling, SMS notifications, CRM workflows, customer communication automation, and business automation software.

Agreement to These Terms

By accessing dexcoretechnologies.ca, purchasing a subscription, starting a free trial, submitting onboarding information, or using DEXCORE Technologies Inc. services, you agree to these Terms of Service and the Privacy Policy.

If you use the services for a business, you represent that you have authority to bind that business to these Terms.

Service Description

DEXCORE provides AI receptionist services, customer communication automation, appointment scheduling, lead capture, call handling, SMS notifications, CRM workflow automation, and related business automation software.

Services may include AI-powered phone answering, message intake, customer support workflows, calendar booking, missed-call follow-up, SMS reminders, lead qualification, pipeline updates, form capture, reporting, and secure integrations with approved operational providers.

Subscriptions, Free Trials, and Activation Fees

Paid services are provided on a subscription basis unless otherwise stated in an order form, checkout page, invoice, or written agreement. Subscription fees, billing frequency, included usage, overage fees, and plan features are shown at checkout or in the applicable offer.

Free trials are offered only where expressly stated. A free trial may require payment details, onboarding information, and account activation. Unless cancelled before the trial ends, the selected subscription may automatically convert into a paid plan according to the checkout terms.

Activation fees cover initial setup, configuration, onboarding, workflow preparation, testing, and launch support. Activation fees are due as stated in the applicable offer and are generally non-refundable once setup work has started.

Payments are processed by Stripe. You authorize recurring charges for active subscriptions and agree to keep billing details accurate and current.

Customer Responsibilities

Customers are responsible for providing accurate business information, approved scripts, service details, scheduling rules, phone numbers, compliance disclosures, consent records, and any content needed to configure services.

  • You must have the right to submit customer, lead, employee, caller, and business data to DEXCORE and its providers.
  • You are responsible for complying with privacy, consumer protection, telemarketing, call recording, employment, industry-specific, CASL, TCPA, CTIA, carrier, and A2P messaging requirements that apply to your business.
  • You must provide legally required call recording notices and SMS consent disclosures for your own customers and callers.
  • You must promptly review workflows, test outputs, and notify DEXCORE of errors, changes, or compliance concerns.

Acceptable Use Policy

You may not use DEXCORE services for unlawful, deceptive, abusive, harmful, or high-risk activity. Prohibited uses include spam, unauthorized marketing, harassment, impersonation, illegal products or services, misleading caller or sender identity, credential theft, malware, regulated services without proper authorization, or collection of sensitive personal information unless expressly approved and legally compliant.

DEXCORE may suspend or restrict services if usage threatens platform security, violates law, violates carrier or provider rules, damages deliverability, or creates risk for DEXCORE, its providers, or other customers.

Service Limitations

AI receptionist and automation services are designed to assist with business communications, not replace professional judgment. AI systems may misunderstand requests, generate incomplete responses, fail to detect urgency, or be unavailable due to provider, carrier, internet, platform, or configuration issues.

DEXCORE does not guarantee uninterrupted service, specific revenue results, lead conversion rates, message delivery, search ranking, appointment volume, or error-free AI output. Emergency, medical, legal, financial, safety-critical, and life-critical communications should not rely solely on DEXCORE automation.

Intellectual Property

DEXCORE owns its website, brand, software configurations, workflow templates, documentation, design assets, service methodology, and proprietary materials. Customers retain ownership of their business data, customer records, approved brand content, and materials they provide to DEXCORE.

You grant DEXCORE the limited rights needed to host, process, transmit, display, modify, and use submitted materials to provide and improve the services.

Limitation of Liability and Indemnification

To the maximum extent permitted by law, DEXCORE Technologies Inc. will not be liable for indirect, incidental, special, consequential, punitive, lost profit, lost revenue, lost data, business interruption, reputational harm, or third-party damages arising from use of the services.

To the maximum extent permitted by law, DEXCORE's aggregate liability for claims relating to the services is limited to the amounts paid by the customer to DEXCORE for the affected service during the three months before the event giving rise to the claim.

You agree to indemnify and hold DEXCORE harmless from claims, losses, liabilities, damages, penalties, and expenses arising from your data, instructions, business practices, use of the services, breach of these Terms, or violation of law, carrier rules, provider policies, or third-party rights.

Termination, Cancellation, and Refund Policy

You may cancel a subscription according to the applicable checkout, account, or written cancellation process. Cancellation stops future billing after the current paid period unless otherwise stated. DEXCORE may suspend or terminate access for non-payment, misuse, legal risk, provider restrictions, security concerns, or breach of these Terms.

Subscription fees for active or elapsed billing periods are generally non-refundable. Activation fees, setup fees, onboarding fees, and custom implementation fees are generally non-refundable once work has started. Any refund exceptions must be approved in writing by DEXCORE.

Governing Law

These Terms are governed by the laws of Canada and the applicable laws of the Canadian province or territory connected to DEXCORE's business operations, without regard to conflict of law rules. The parties will attempt to resolve disputes in good faith before starting formal proceedings.
